Greeny Organics is an online retailer specializing in African groceries, fresh produce, pantry essentials, household goods, and related products.

All prices are listed in Canadian Dollars (CAD) unless otherwise indicated.

Prices, promotions, taxes, delivery fees, and product availability are subject to change without notice.

Although we make every effort to ensure pricing accuracy, errors may occasionally occur. We reserve the right to correct pricing errors and cancel or refuse orders placed using incorrect pricing before fulfillment.

Applicable taxes and delivery charges will be calculated during checkout.

6. Orders

Submitting an order does not guarantee acceptance.

Greeny Organics reserves the right to:

• Refuse or cancel any order.
• Limit purchase quantities.
• Cancel duplicate or suspicious orders.
• Verify customer information before processing.
• Refuse orders that appear fraudulent or intended for resale.

If an order is cancelled after payment has been processed, a refund will be issued to the original payment method.

7. Payment

We accept payment methods made available during checkout through Shopify Payments and other approved payment providers.

By submitting payment information, you represent and warrant that you are authorized to use the selected payment method.

Payments are securely processed through Shopify Payments and its authorized payment partners. Greeny Organics does not store your complete payment card information.

Orders will not be processed until payment has been successfully authorized.

If payment is declined, reversed, disputed, or determined to be fraudulent, Greeny Organics reserves the right to cancel or refuse the order without notice.

We may request additional verification before accepting or fulfilling certain orders.

8. Shipping and Delivery

Delivery timelines are estimates only and are not guaranteed.

Delays may occur due to:

• Weather conditions
• Traffic
• Supplier shortages
• High order volumes
• Carrier issues
• Inventory synchronization
• Events beyond our reasonable control

Customers are responsible for providing accurate delivery information.

Additional delivery charges may apply for incorrect addresses, missed deliveries, or failed delivery attempts.

9. Apartment Deliveries

For safety and security reasons, our delivery drivers do not enter apartment or condominium buildings.

Customers are responsible for meeting the driver at the designated entrance or curbside location.

Failure to receive the order at the scheduled delivery time may result in additional delivery charges or order cancellation.

Perishable products cannot be refunded if delivery cannot be completed because the customer was unavailable.

10. Returns and Refunds

Returns and refunds are governed by our Refund & Return Policy.

By placing an order, you acknowledge that you have read and agree to that policy.

11. Customer Accounts

Customers may create an account to enjoy faster checkout, order history, saved delivery information, and other account features.

You agree to:

• Provide accurate and current information.
• Keep your password confidential.
• Update your account information when necessary.
• Accept responsibility for all activity occurring under your account.

You are responsible for maintaining the security of your account credentials.

Greeny Organics shall not be liable for unauthorized use of your account resulting from your failure to protect your login credentials.

We reserve the right to suspend, restrict, or terminate accounts used fraudulently or in violation of these Terms.

You may request deletion of your account at any time. Certain records may be retained where required by law or for legitimate business purposes.

12. Inventory Synchronization

Greeny Organics uses an integrated retail inventory management system to synchronize inventory across our online store and retail operations.

Although inventory updates occur regularly, occasional discrepancies may occur due to simultaneous purchases, supplier updates, inventory adjustments, technical issues, or synchronization delays.

If an item becomes unavailable after an order has been placed, Greeny Organics may:

• Offer a substitute product where appropriate;
• Remove the unavailable item and refund that portion of the order;
• Delay fulfillment until inventory becomes available; or
• Cancel the affected portion or the entire order.

Our liability shall not exceed the purchase price of the unavailable item(s).

13. Accuracy of Information

Although we strive for accuracy, we do not guarantee that product descriptions, pricing, nutritional information, inventory, or website content is always complete, accurate, or current.

We reserve the right to correct any errors, inaccuracies, or omissions without prior notice.

14. Allergies and Food Information

Many products sold by Greeny Organics may contain or come into contact with common allergens including peanuts, tree nuts, soy, dairy, eggs, wheat, sesame, shellfish, and fish.

Customers with food allergies or dietary restrictions are responsible for reviewing product labels prior to consumption.

Greeny Organics is not responsible for allergic reactions or health issues resulting from products purchased through our store.

15. Intellectual Property

All content on this website, including logos, trademarks, graphics, photographs, text, product descriptions, videos, website design, and branding, is the property of Greeny Organics or its licensors.

No content may be copied, reproduced, distributed, or used without prior written permission.

Transactional communications related to your orders or account may continue even if you unsubscribe from marketing communications.

18. Promotions, Gift Cards & Store Credit

Greeny Organics may offer promotions, coupon codes, gift cards, store credits, or other promotional programs.

Unless otherwise stated:

• Promotions cannot be combined.
• Promotional codes have no cash value.
• Gift cards and store credits are non-refundable and non-transferable except where required by law.
• Promotional offers may be modified or discontinued without notice.
• Greeny Organics reserves the right to cancel promotions obtained through fraud, abuse, technical errors, or misuse.

19. Right to Refuse Service

Greeny Organics reserves the right to refuse service, cancel orders, limit quantities, suspend customer accounts, or terminate access to our website where necessary to protect our business, employees, customers, suppliers, or operations, or where these Terms have been violated.

20. Limitation of Liability

To the fullest extent permitted by law, Greeny Organics shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

• Product availability
• Delivery delays
• Service interruptions
• Lost profits
• Lost data
• Inventory discrepancies

Our maximum liability shall not exceed the amount paid for the affected order.

Nothing in these Terms excludes rights that cannot legally be excluded under applicable consumer protection laws.

21. Indemnification

You agree to indemnify and hold harmless Greeny Organics, its owners, employees, contractors, affiliates, and representatives from any claims, damages, liabilities, costs, and legal expenses arising from:

Greeny Organics shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including severe weather, natural disasters, transportation disruptions, supplier shortages, labour disputes, pandemics, government actions, or power outages.

24.  Product Recalls

At Greeny Organics, the safety of our customers is our top priority. In the unlikely event that a product we carry is subject to a recall, here's what you can expect:

• Notification: We will contact affected customers directly via email as soon as we become aware of a recall.
• Product removal: The recalled product will be immediately removed from our store.
• Returns & remedies: If you've purchased a recalled product, we will work with you to arrange a suitable remedy — which may include a full refund, store credit, or replacement with a safe equivalent — depending on the nature of the recall and product availability. We will cover any associated return shipping costs.
• Guidance: We will provide clear instructions on how to safely dispose of or return the product, in accordance with Health Canada guidelines.

25. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

26. Entire Agreement

These Terms of Service, together with our Privacy Policy, Refund & Return Policy, Shipping Policy, and any additional policies posted on our website, constitute the entire agreement between you and Greeny Organics regarding your use of our services.

27. Waiver

Failure by Greeny Organics to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

28. Governing Law

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes arising from these Terms shall be resolved by the courts located in Ontario, unless otherwise required by applicable law.

Greeny Organics reserves the right to modify these Terms at any time.

Changes become effective immediately upon posting to our website unless otherwise stated.

Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
